NOTABLE TRANSACTIONS

 

Together with lead counsel Clifford Chance, Paris, Carsted Rosenberg Advokatfirma advised Cromwell European REIT (CEREIT) on the sale of 12 assets in France, Denmark and the Netherlands for EUR 65.7 million to funds advised by affiliates of The Blackstone Group Inc. The properties had been managed on behalf of CEREIT by its sponsor, Cromwell Property Group (Cromwell), through Cromwell’s integrated European investment management platform. The assets are all light industrial/logistics properties: five in the Netherlands, five in France and two in Denmark. The properties total approximately 124,000 sqm of space. In Denmark, the largest of the two assets is the Hjulmagervej 3-19 property in Vejle, located in the Jutland Peninsula in Southern Denmark. The asset comprises nine warehouse/light industrial buildings. Each building consists of warehouse areas with associated offices. The total NLA of the property is 12.807 sqm. CERET was advised by lead counsel Clifford Chance, Paris together with Clifford Chance Amsterdam, Clifford Chance Luxembourg and Carsted Rosenberg Advokatfirma. The purchaser was advised by Simpson Thacher Bartlett, London, DLA Piper, Paris, Loyens & Loeff, Amsterdam and Bech-Bruun Advokatfirma. 

 
Carsted Rosenberg Advokatfirma Advised Freezertech on Acquisition by Carsoe

 

Carsted Rosenberg advised the shareholders of Freezertech on the acquisition of the company by Carsoe. Grimsby-based Freezertech is a leading supplier of horizontal and vertical plate freezers for the fishing and food processing industry. The company was acquired by Aalborg-based Carsoe A/S, a leading supplier of on-board food processing solutions for the shipping industry. The company was advised by lead counsel Wilkin Chapman and by Carsted Rosenberg as local counsel for Denmark. The purchaser was advised by DLA Piper.

 
Carsted Rosenberg Advokatfirma Acts for Magne Larsen Investments on Acquisition of Equity Stake in OnePlay

 

Carsted Rosenberg Advokatfirma acted for private equity firm Magne Larsen Investments on the acquisition of an equity stake in OnePlay. Oneplay is a membership-based video game rental company that enables consumers to sign up for a digital subscription service, where users have access to download and play 2.000+ premium games for PC, MAC and Android devices. Founded in Denmark, OnePlay is today one of the largest players in digital game subscriptions and sales in Europe and the United States. Bird & Bird (formerly Bender von Haller Dragsted) advised OnePlay.

 
Carsted Rosenberg Advokatfirma Acts for Magne Larsen Investments on Acquisition of Equity Stake in Munin Sports

 

Carsted Rosenberg Advokatfirma acted for private equity firm Magne Larsen Investments on the acquisition of an equity stake in Munin Sports. Munin Sports produces and markets next generation football training equipment used by top football teams such as Arsenal, Real Madrid, Chelsea, Manchester United, Bayern Münich, as well as by consumers and families. According to the Swedish Football Federation’s elite high school in Spring 2015, the m-station rebounder porduced by Munin Sports results in an average 42% technical improvement in four weeks of practice. The next-generation rebounder works wirelessly with an app that enables users to develops footballers’ skills in a fun and efficient way by using new technology to take the training in football clubs and private gardens to a digital level that children and teenagers can understand. Founded in Denmark, Munin Sports is now sold across Scandinavia, the European Union and the United States.

 
Carsted Rosenberg Advokatfirma Acts for Timgu on the Divestment of Finnish Division

 

Carsted Rosenberg Advokatfirma acted for advertising firm Timgu with offices in London, Copenhagen and Helsinki on the successful sale of its Finnish operations to Helsinki-based Kwantic Oy, a Finnish advertising firm. Founded by a group of former Google employees, Timgu offers  a high level of expertise and experience within the field of online and mobile marketing for advertising clients in Northern Europe and Scandinavia. The acquisition of the Finnish division of Timgu provided Kwantic with an immediate foothold in the online and mobile marketing sector in Finland. DLA Piper (formerly Peltonen LMR), Helsinki represented the purchaser Kwantic Oy in the acquisition.

 
Carsted Rosenberg Advokatfirma Acts for Greenland Spring Water on Asset Sale

 

Carsted Rosenberg advised Greenland Springwater AG on the asset sale of its Danish and Greenlandic subsidiaries in connection with an asset sale involving the entire Greenland Spring Water Group headquartered in Switzerland. The mineral water is named 938 after its average pH of 9.38S and originates from the spring Qeqertarsuaq on Disko Island in Greenland. Founded in 1773, Qeqertarsuaq is one of Greenland’s oldest towns with little more than 1,000 residents from which the bottled spring water is exported worldwide.
