Carsted Rosenberg Acts as Process Agent on European Debt Capital Markets and Schuldschein Transactions

Carsted Rosenberg is pleased to announce its recent role as process agent on two cross-border financing transactions within the European debt capital markets and Schuldschein sectors.

Sacyr SA, UniCredit Bank and ING Bank

In the first mandate, CRA acted as process agent for the successful issuance of an inaugural sustainability-linked Schuldschein loan by the Spanish construction company, Sacyr S.A. The transaction highlights the increasing use of the German law-governed Schuldschein instrument in international sustainable finance. UniCredit Bank GmbH and ING served as joint arrangers, with Clifford Chance providing legal counsel to the issuer.

Gorenjska Banka and Morgan Stanley

In the second transaction, CRA acted as process agent in connection with the issuance of EUR 150 million senior preferred resettable notes by the Slovenian lender, Gorenjska banka d.d. The standalone notes, which have a final maturity date in 2032 and a first reset date in 2031, are listed on the Euro MTF market of the Luxembourg Stock Exchange. Morgan Stanley Europe SE acted as sole bookrunner for the issuance. Clifford Chance provided legal counsel to the bookrunner, and Wolf Theiss represented the issuer.
