Getaround Divests Its European Carsharing Operations to GoMore, Forming Europe’s Largest Peer-to-Peer Network

Carsted Rosenberg Advokatfirma is pleased to announce its role as Danish counsel to the sellers, as part of the deal team headed by lead counsel Orrick, Herrington & Sutcliffe (Europe) LLP, in connection with the sale of Getaround’s European carsharing business to Danish operator GoMore ApS.
The transaction combines Getaround’s market positions in France, Norway, Belgium, Germany, Spain and Austria with GoMore’s markets in Denmark, Sweden, Finland and Estonia. The combined group operates approximately 70,000 vehicles and serves more than five million users across 11 countries, forming Europe’s largest peer-to-peer carsharing network.
A Cross-Border Sale with a Multi-Layered Financing Structure
The mandate was led by Orrick, Herrington & Sutcliffe LLP (Paris, New York and San Francisco), acting as overall lead counsel for the sellers. Orrick's Paris office led the transaction across Europe and the Nordics. Carsted Rosenberg provided specialist Danish counsel support to the Orrick team on the Danish law aspects of the transaction.
The Carsted Rosenberg team on this transaction was jointly led by partners Dr. Andreas Tamasauskas and Michael Rosenberg, who co-head the firm’s Banking & Finance Practice.
Our work focused on the Danish legal aspects of the transaction, and Carsted Rosenberg advised on the integration of the Danish elements into a multi-jurisdictional sale and financing structure coordinated by the Orrick team in Paris.
Transaction Adviser Group
On the sell side, Stifel Europe acted as sole financial adviser to the sellers, with Alvarez & Marsal provided restructuring advisory support to the sellers. Van Campen Liem acted as Dutch counsel to the sellers, and BAHR acted as Norwegian counsel. Weil, Gotshal & Manges and Gorrissen Federspiel acted for the senior secured creditor of Getaround Inc.
On the buy side, Bech-Bruun acted as Danish counsel to GoMore with Wikborg Rein as Norwegian counsel to GoMore, and Pinsent Masons as French counsel. Plesner advised the lenders Nordea and EIFO, the Danish Export Credit Agency and National Promotional Bank, assisted by Wiersholm in Norway and De Pardieu Brocas Maffei in France.
The combined group brings together two long-standing pioneers of connected, keyless peer-to-peer carsharing. The transaction follows Getaround’s strategic decision to consolidate around its European operations and marks a significant step in the consolidation of the European shared mobility market.
