OTC Markets Group Designates Carsted Rosenberg as an OTCQX Sponsor

Updated: Apr 21, 2022

NEW YORK, June 8, 2021: OTC Markets Group Inc. (OTCQX: OTCM), operator of financial markets for 11,000 U.S. and global securities, announced that Carsted Rosenberg, a specialist international law firm with offices in Denmark, Germany and Switzerland, has been designated as an OTCQX sponsor.

Carsted Rosenberg attorneys Brad Furber, Michael Carsted Rosenberg, and Andreas Tamasauskas have been approved by OTC Markets Group to act as a sponsor for companies to be quoted on the OTCQX and OTCQB markets. Carsted Rosenberg has a particular expertise in cross-border banking & finance, capital markets, mergers & acquisitions and corporate & commercial matters.

"OTC Markets Group welcomes Carsted Rosenberg to our community of OTCQX sponsors," said Joe Coveney, VP, International Corporate Services at OTC Markets Group. "As global issuers look to increase tradability of their securities in the U.S., qualified advisors continue to provide critical expertise and practical insight on navigating the guidelines set forth in our OTCQX and OTCQB Rules."

To qualify for the OTCQX market, all U.S. and International companies must engage an OTCQX Sponsor.

OTCQX and OTCQB Markets for Nordic Issuers

The OTCQX and the OTCQB markets offer Nordic and other foreign companies an alternative to traditional stock exchange listings in the United States. Non-US issuers that

  • qualify for an exemption from the registration and reporting requirements of the Securities Exchange Act pursuant to Rule 12g3-2(b) (or are not otherwise required to register a class of securities under the Act);

  • have their domestic securities listed on a qualified foreign stock exchange such as Nasdaq Copenhagen or the Nordic Growth Market; and

  • meet certain additional requirements;

can have their securities traded on the OTCQX or the OTCQB markets, without having to register or report to the US Securities and Exchange Commission (SEC).

Nordic issuers joining OTCQX will provide investors in the United States access to invest and trade in their equity securities in USD while they are listed domestically in e.g. Denmark in DKK. OTCQX provides an effective alternative to a traditional listing on the New York Stock Exchange and significantly increases trading liquidity in the domestic securities by opening up the US markets.
